What you’ll learn

By the end of this course, students will be able to understand the distinctive governance structure of Korean corporations. They will be able to analyze how controlling families use control-enhancing mechanisms and tunneling practices, evaluate the role and effectiveness of internal governance mechanisms such as boards of directors and executive compensation (including unique institutions like the 3 percent rule and family pay premium), and assess external governance mechanisms available to minority shareholders. Students will also gain insight into the practical challenges of enforcing shareholder rights and the roles played by key external actors such as the National Pension Service and activist hedge funds.
